1Acceptance of Terms

By accessing or using NxGn Assistants ("the Service"), you agree to these Terms of Use, our Acceptable Use Policy, and our Privacy Policy. If you do not agree, please do not use the Service.

2Service Description

NxGn Assistants is connect your apps, n8n, zapier, and tools in one place, then chat with your ai assistants to get the job done. You can build AI assistants with the models, prompts, tools, and execution logic you choose; connect custom MCP (Model Context Protocol) servers for actions, data fetching, and external integrations; generate multimodal content (such as text, images, audio, and video); and schedule assistants to run recurring work automatically.

The Service may include interfaces to manage assistant configuration, credentials and API keys you provide, chat and workflow history, and automation runs. You may bring your own API keys for chat models and other integrations you configure.

Features and availability may change as the product evolves. AI model providers, MCP servers, and other third-party tools are provided by third parties; we do not guarantee their availability, accuracy, security, or compliance.

NxGn Assistants is an independent product and is not affiliated with, endorsed by, or sponsored by any third-party AI model provider. When we mention model names on our website or in the app, we are describing integrations you can configure. Those names are not our brand and do not indicate a partnership with those providers.

3Account Requirements

• •You must provide accurate account and billing information.
• •You are responsible for all activity under your account and for keeping your credentials secure.
• •You must be at least the age of majority in your jurisdiction to subscribe.

4Subscriptions and Billing

NxGn Assistants offers one paid plan at $99 per month. Your subscription includes access to AI assistants, MCP integrations, scheduled tasks, and related features described on our website.

• •Subscriptions renew automatically each month unless canceled before the renewal date.
• •All charges are final. We do not provide refunds for partial or unused billing periods, except where required by applicable law.
• •You are responsible for applicable taxes, fees, or currency conversion charges.
• •You may cancel your subscription at any time from Settings, which opens our payment provider's customer portal. Cancellation stops future charges; access continues until the end of the current billing period.

5Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy. In addition to the rules below, you must not use the Service for prohibited content or conduct described in that policy.

• •Do not misuse the Service, interfere with platform operations, or attempt unauthorized access.
• •Do not use the Service to violate law, infringe rights, distribute malware, or abuse third-party systems (including MCP servers or APIs).
• •Do not generate, request, store, or distribute sexually explicit, pornographic, NSFW, or sexually suggestive content through the Service, including AI-generated images, videos, audio, or text.
• •Do not create face-swap, deepfake, face-manipulation, or impersonation content, or use the Service to depict real people without consent.
• •Do not rely on automated or AI-generated outputs as a substitute for professional judgment where human review is required (for example, security, finance, legal, safety, or compliance decisions).
• •You are responsible for API keys, credentials, and third-party accounts you connect to the Service.

6Tool execution and scheduled tasks

Sensitive tool calls are not executed automatically by default. Tools are added to a run only after you confirm; the confirmation message, details, and tool list are included when the run proceeds. Some frontend tools may also require UI approval before backend work runs.

Scheduled tasks run assistants on the schedule you set. You are responsible for reviewing prompts, tools, and permissions associated with each scheduled task.

7Third-party MCP, AI models, automation, and software disclaimer

NxGn Assistants integrates with third-party MCP servers and tools that you configure. You are responsible for reviewing those integrations and for outcomes of automated actions initiated through the Service.

Configuration values, prompts, and data sent through MCP servers are governed by those providers’ terms and your choices. NxGn Assistants does not control external services. To the fullest extent permitted by law, we are not responsible for the availability, behavior, outputs, costs, damages, or security of third-party MCP servers, AI model providers, or other tools—or for actions taken through automations you enable. You are solely responsible for reviewing permissions, prompts, credentials, and the suitability of automated actions in your environment.

8Data and Privacy

Our data practices are described in our Privacy Policy. By using the Service, you consent to collection and use of information as described there, including assistant configuration, chat history, and operational data needed to connect MCP integrations and AI models. We do not sell your personal information.

9Intellectual Property

The Service, including branding and software, is owned by NxGn Assistants. You retain ownership of content you provide (including prompts, configurations, and other materials you submit), and you grant us only the limited rights needed to operate the Service.

10Termination

We may suspend or terminate accounts that violate these Terms or pose risk to users, systems, or service integrity.

11Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, NxGn Assistants is not liable for indirect, incidental, special, consequential, or punitive damages.

12Changes to These Terms

We may update these Terms from time to time. Material updates are effective when posted with a revised "Last Updated" date.
